going with intel in your budget and still leaving OverClocking option+ future upgrade is impossible . with going for intel you will get a realy cheap board and the same performance. the best cpu i can get for the same price your current one is the SB pentium G860, which will give you great performance but will leave you without the ability to either upgrade nor overclock.
if youre skipping the monitor+case you can get a nice 955BE with a more expensive board so you could have overclocking+future proofing.
bottom line is that amd did have a minor step down the last few years but the Phenom II series was nothing but succes , you can ask any phenom owner and he will tell you that it was the best buy of his life.

i dont see a reason to go from a pentium dual core to a celeron dual
and if you can use your old case and monitor you might be able to fit a nice i3 with a unknown brand h67 board. here is a build that will be close to your budget(with the ability to future upgrade but no overclock.):

MoBo-http://www.theitdepot.com/details-ECS+H67H2-M3+16GB+DDR3+USB+3.0+Intel+Motherboard_C13P9614.html
CPU-http://www.discountsvu.com/compare_price/best-price-comparison/Intel-core-i3-2100-Processor-3.1-GHz-3M-Cache.html
Thermal Paste-http://www.theitdepot.com/details-Cooler+Master+IC+Value+V1+Thermal+Compound+%28RG-ICV1-TW20-R1%29_C10P11708.html
CPU cooler-http://www.theitdepot.com/details-Zalman+92mm+Ultra+Quiet+CPU+Cooler+%28CNPS5X%29_C10P13173.html
RAM-http://www.discountsvu.com/compare_price/best-price-comparison/Corsair-4GB-DDR-3-1333-Desktop-RAM.html
GPU-http://discountsvu.com/compare_price/best-price-comparison/NVIDIA-GeForce-GTX550-ENGTX550-TI-DI/1GD5-1GB-Graphics-Card.html
PSU(i gave 2 options because im not realy familiar with amps and shamps and all of that yada yada)-
http://www.theitdepot.com/details-Gigabyte+Superb+550W+GE-P450N-C2+Power+Supply_C14P11022.html
http://www.theitdepot.com/details-Corsair+Builder+Series+430W+Power+Supply+%28CMPSU-430CX%29_C14P8929.html

total cost:24777 RS which is about 500$(i think) so its a little bit over your budger but its worth the extra cash.

this build is realy great, it offers great pefrormance and the ability to go for an ivy bridge cpu once its out , if you go for a cheaper cpu like the g620/g860 you will be able to fit case +monitor here.

A 550w psu is enough!!!! If you want to SLI, maye get a 650w just to be safe. But 550w is just fine.

i dont see how a 560 ti can fit in your budget. the 550 ti is the best card that could fit in your budget without making you go over it...

Heres what i got out of this so far... I think what hes sayin is, that he will use old everything except buy a i5 cpu and the psu, maybe mobo i wasnt following that much, and when he has the cash, to buy 560ti so hes wondering if he buys the 550w psu NOW if it will support the gpu he buys LATER. Amirite? :D
